2. Definitions
In these General Terms and Conditions the following terms shall have the following meanings:
- Repender: Repender B.V., provider of the Repender software.
- Software: The Repender online software platform including CRM, POS system, repair management, inventory management, plugins and related tools.
- User: The business customer using the Repender software.
- Account: The personal or company account created by the user to access the software.
- Subscription: The agreement under which the user receives access to the Repender software for a recurring fee.
- Services: All services provided by Repender including software access, updates, integrations and support.
3. Applicability
- These General Terms and Conditions apply to all agreements between Repender B.V. and users of the Repender software.
- By creating an account or using the software, the user agrees to these Terms and Conditions.
- Deviations from these Terms are only binding if agreed in writing.
4. Services
Repender B.V. provides an online software solution designed for repair businesses and similar service companies.
- The software may include features such as repair management, POS functionality, inventory management, customer management, appointment scheduling, reporting and integrations.
- Repender may update, improve or modify the software at any time to improve functionality, security or performance.
- Repender strives to keep the software available but does not guarantee uninterrupted availability.
5. Registration and Accounts
- Access to the software requires the creation of an account.
- The user is responsible for providing accurate and complete information when registering.
- The user is responsible for maintaining the confidentiality of login credentials.
- The user is responsible for all activities performed under their account.
6. User Obligations
- The user may only use the software for lawful business purposes.
- The user may not misuse the software or attempt to disrupt its operation.
- The user is responsible for the correctness of data entered into the system.
- The user is responsible for complying with applicable laws when using the software, including consumer protection and tax regulations.
7. Subscriptions and Payments
- Access to the Repender software requires an active subscription.
- Subscriptions may be billed monthly or annually depending on the selected plan.
- Subscriptions automatically renew unless cancelled before the renewal date.
- If the user cancels the subscription, access remains active until the end of the paid billing period.
- Paid fees are non-refundable unless required by law.
- Payments are processed via third-party payment providers such as Mollie and may include SEPA, credit card or PayPal.
8. Integrations and Third-Party Services
- The software may integrate with third-party services such as payment providers, accounting software or hardware providers.
- Repender is not responsible for the performance or availability of third-party services.
- For example, POS hardware integrations such as CCV pin terminals require a separate agreement between the user and the hardware provider.
9. Data Protection and Privacy
- Repender B.V. processes personal data in accordance with the applicable GDPR/AVG regulations.
- A separate privacy policy explains how data is collected, processed and protected.
- The user remains responsible for the data they store and process within the software.
10. Liability
- Repender B.V. provides the software on a best-effort basis.
- Repender is not liable for indirect damages including loss of revenue, loss of data or business interruption.
- Repender’s total liability shall never exceed the subscription fees paid by the user during the preceding 12 months.
- The user is responsible for verifying the correctness of data and financial information generated by the software.
11. Termination
- The user may cancel the subscription at any time via the account settings or by contacting Repender.
- Repender may suspend or terminate accounts that violate these Terms and Conditions.
- After termination, access to the software may be revoked.
12. Changes to the Terms and Conditions
- Repender B.V. reserves the right to update or modify these Terms and Conditions.
- Users will be notified of material changes through the platform or via email.
- If a user does not agree with the updated terms, the user may terminate the subscription.
13. Governing Law
- These Terms and Conditions are governed by Dutch law.
- Any disputes shall be submitted to the competent court in the Netherlands.
